[Eg-oversight-board] Draft Executive session wording redux

Hi,
Attached, belatedly, but as promised, please find a slightly modified
Executive Session document I'm proposing for adoption into the Rules of
Governance.  Thanks for the input form everyone who responded on that
thread.

It was mentioned on the thread that no actions are possible in Executive
Sessions and, while that may be true in some organizations, it is not true
as a whole.  Robert's Rules allows actions and voting in Executive session
- the only difference between executive session and regular session is the
fact that executive session is "secret".

We can choose to include that if we wish but I don't see any need to at
this point as our Board doesn't have the kind of power that would make this
necessary - like the power to remove the Head of the School Board or
something of that nature.

Please remember, the purpose of executive session in governmental bodies is
not to hide important information from the members or the public, but to
protect the innocent and to allow the Board to speak freely on sensitive
matters that should not be discussed openly for legal reasons or out of
sensitivity.
