Hi Yamil,
Since our next meeting is next week I appreciate that you volunteered to
lead the meeting.
According to the EOB Rules of Governance Section 2.9 (Removal and
Resignation):
* A Board member may resign from the Board. Resignation from the Board must
be in writing and received by the Secretary or President of the board.
* In the event of a vacancy on the board due to removal, resignation, or
death, the Board shall appoint a replacement to serve the remainder of the
term.
* Within seven (7) days of removal, resignation, or natural expiration of
an expired term, the Board member must deliver (at his/her expense) all
documents and other property rightfully belonging to the Board in good
condition to the Board member’s successor, or to a person or place
designated by the Board.
So, it looks like we need to vote to appoint a replacement for Ben, it's
not automatic succession.
And Ben needs to resign "in writing" and that has to be acknowledged by the
Secretary. I assume the email chain was enough but feel free to speak up
if anyone thinks we need something more formal.
